TERMS & CONDITIONS – Nimantran

Introduction
Welcome to Nimantran (“Company,” “we,” “our,” “us”). These Terms and Conditions (“Terms”) govern your access to and use of our advertising, marketing, and communication automation services, including but not limited to WhatsApp Business API integrations, RCS messaging solutions, and related digital marketing tools (“Services”).
By accessing or using our website, products, or Services, you (“User,” “Client,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, you may not access or use our Services.

Definitions
For purposes of this Agreement:
“Service” refers to any digital marketing, advertising automation, or messaging solutions offered by Nimantran, including WhatsApp and RCS message automation tools.
“User” or “Client” means any person or entity who accesses or uses Nimantran’s Services.
“Content” refers to any data, text, graphics, images, or other materials transmitted, displayed, or uploaded via our Services.
“Meta” means Meta Platforms Inc., the parent company of WhatsApp.
“RCS” refers to Rich Communication Services, a messaging protocol operated by telecom operators.

Acceptance of Terms
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you use our Services on behalf of a business, you represent that you are authorized to accept these Terms on its behalf.

Description of Services
Nimantran provides professional advertising and marketing automation solutions designed to enhance customer communication and engagement. Our offerings may include:
WhatsApp Business API and RCS message automation setup
Marketing campaign management and analytics
Digital media advertising and performance tracking
Message delivery, engagement optimization, and customer support integration
The Services are designed in compliance with Meta’s Business Messaging Policy and RCS industry standards.

Eligibility
To use our Services, you must be at least 18 years old and capable of forming a legally binding contract under Indian law. Business clients must hold valid business credentials and use our Services only for lawful commercial purposes.

Account Registration
To access certain features, Users may be required to register an account with Nimantran. You agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials.

User Responsibilities
You agree not to use the Services for unlawful, deceptive, or abusive communication. Users must:
Comply with all applicable laws, including the IT Act 2000 and its amendments.
Respect Meta’s and telecom operators’ messaging guidelines.
Ensure that message content is not spam, misleading, or harmful.
Nimantran reserves the right to suspend or terminate any User account violating these terms.

Payment & Billing Terms
All fees for Services are payable in advance as per the chosen subscription or service agreement. Payments are non-refundable except where mandated by law. Invoices will specify applicable taxes under GST.
Nimantran reserves the right to modify pricing upon prior notice to clients.

Subscription Renewal & Termination
Subscriptions automatically renew unless canceled in writing before the renewal date. Either party may terminate this Agreement with a written notice of at least seven (7) days.
Upon termination, access to Services will cease, and outstanding dues shall become payable immediately.

Use of WhatsApp Official API & RCS
Nimantran operates in compliance with Meta’s WhatsApp Business Policy and RCS Business Messaging Guidelines.
By using these Services, you consent to:
The transmission of data through Meta and telecom operator systems.
Adherence to message template approval and opt-in procedures.
Avoidance of unsolicited or promotional spam messages.
Failure to comply may lead to account suspension or regulatory reporting.

Message Delivery & Compliance Policy
Nimantran provides technology solutions to facilitate communication. Message delivery is dependent on third-party systems such as WhatsApp, Google, and telecom operators.
We do not guarantee 100% message delivery due to factors beyond our control.
Users must ensure all communications comply with TRAI, Meta, and RCS platform standards.

Intellectual Property Rights
All intellectual property in our website, software, documentation, and designs belongs to Nimantran. Users may not copy, distribute, or reverse-engineer any part of our systems without written permission.
You retain ownership of content you upload but grant Nimantran a limited license to process and transmit such content as required to provide Services.

Confidentiality
Both parties agree to maintain confidentiality of all business, client, or campaign data exchanged. Nimantran implements safeguards to protect such data from unauthorized access or disclosure.

Disclaimer of Warranties
Services are provided “as is” without any warranties, express or implied. Nimantran disclaims liability for service interruptions, delays, or data loss caused by third-party systems or force majeure events.

Limitation of Liability
To the maximum extent permitted by law, Nimantran shall not be liable for indirect, incidental, or consequential damages arising from use or inability to use our Services. Our aggregate liability shall not exceed the total amount paid by the User in the preceding three months.

Indemnification
Users agree to indemnify and hold harmless Nimantran, its owner, employees, and partners from any claims or damages arising out of misuse, unlawful communication, or violation of these Terms.

Governing Law (India)
These Terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.

Changes to Terms
Nimantran reserves the right to modify these Terms at any time. Updated Terms will be published on our website, and continued use of the Services indicates acceptance.
